Registered Office Co is a trading name of Bow Studio Limited, a company registered in Scotland under number SC791882, with its registered office at 65 Bath Street, Suite 2/7, Second Floor, Glasgow, G2 2BX. Our service address is 50 Clifford Lane, Glasgow G51 1NR.
These terms apply when you order a registered office or director service address from us. Please read them before you apply — by sending the signup form you are asking us to provide the service on these terms.
What the service is
We let your company use our address as its registered office, and we scan the official post that arrives there and send it to you by email.
Registered Office — £39 a year plus VAT. Your company's registered office address, and scanning of official company correspondence.
Office & Director — £59 a year plus VAT. The same, plus a director's service address for one named director, and scanning of that director's official post.
What the service is not
- It is not company formation. We do not incorporate your company, and sending the signup form does not change your company's public record — you make that filing yourself.
- It is not a trading address, and it is not a place you can meet people or hold stock.
- It does not cover general business mail, bank cards, parcels, couriers or physical forwarding. We decline those at the door.
- It is not legal, tax or accounting advice.
Who can use it
The service is for companies that are, or are about to be, registered in Scotland. You confirm this when you apply.
Before we activate anything, we have to verify your identity and that of the people behind the company. This is a legal requirement on us, not a formality, and we cannot waive it. If we cannot complete the checks to our satisfaction we will not activate the service, and we will refund anything you have paid.
What we ask of you
- Give us accurate information, and tell us when it changes — a change of director, a change of control, a new email address.
- Use the address only for the company and director named on your account.
- Do not use the address for anything unlawful, or in a way that would put us in breach of our own obligations.
- You remain responsible for your own Companies House and HMRC filings. We pass post on; we do not act on it for you.
Post
We scan official correspondence — Companies House, HMRC, the courts — and email it to you, normally on the working day we receive it. We hold scans in your account for twelve months. Original paper is securely destroyed after 30 days unless you have asked us in writing to hold it.
Anything outside the scope of your plan is returned to sender or refused.
Fees and renewal
Fees are annual, in advance, and are stated excluding VAT. We will email you before each renewal. Prices can change at renewal; we will tell you at least 30 days before, and you can decline and leave.
Cancelling
If you are an individual contracting outside your business, you have 14 days from ordering to cancel for any reason and get your money back. If you ask us to start within those 14 days and we do, we may keep a proportionate amount for what we have already done.
Otherwise, you can cancel at any time, and the service runs to the end of the year you have paid for. We do not refund part years.
Important: before your service ends you must change your registered office, and your director's service address, to another address and file that change with Companies House. If you do not, your company's official address stops being one you control, and Companies House can take action against the company. We will remind you, but the filing is yours to make.
When we can suspend or end the service
We can suspend or end the service if payment is not made, if the identity checks cannot be completed, if the information you have given us turns out to be false, or if the address is being used unlawfully. Where we reasonably can, we will warn you first and give you time to put it right. Where the law prevents us from explaining, we will say only that we are ending the service.
Our liability
We will provide the service with reasonable care and skill. We are not liable for losses we could not reasonably have foreseen, for lost profit or business, or for post we never received. Our total liability in any year is limited to the fees you paid us that year.
Nothing here limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit. If you are a consumer, your statutory rights are unaffected.
Changes to these terms
We may change these terms. If a change materially affects you we will give you 30 days' notice by email, and you can end the service and take a refund of the unused part of the year.
Law
These terms are governed by the law of Scotland, and the Scottish courts have jurisdiction.
